1. Who you are contracting with

These Terms govern your use of the GynePedia Global MKF Osmosis Series, the GG Reader and any related websites or services (the "Service"), operated by JOACQUEM OGINDO ("we", "us", "our"), trading as GynePedia Global. By accessing or using the Service you agree to be bound by these Terms.

2. Authority and eligibility

You confirm that you are at least the legal age of majority in your jurisdiction (or, if signing up on behalf of an organisation, that you are authorised to bind that organisation).

3. The Service

The Service provides medical-education reference materials for trained learners and clinicians. It is not a substitute for clinical judgment, local guidelines or licensed care. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for personal, non-commercial educational use within the plan you have purchased.

4. Acceptable use

You must not:

  • use the Service for any unlawful, fraudulent, or harmful purpose;
  • infringe our or any third party's intellectual property rights;
  • copy, redistribute, resell, sublicense, or publicly share content from the Service;
  • reverse engineer, scrape, probe, or otherwise interfere with the Service or attempt to bypass technical limits, paywalls, or access controls;
  • introduce malware or attempt to gain unauthorised access to accounts, systems, or data.

5. Account credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date.

6. Intellectual property

All content, software, branding, and materials made available through the Service are owned by JOACQUEM OGINDO / GynePedia Global or its licensors and are protected by intellectual-property laws. No ownership of any content is transferred to you.

7. Payments, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms in addition to these Terms and our Refund Policy.

Subscriptions renew automatically at the end of each billing cycle at the then-current price until cancelled. One-time purchases grant access for the stated duration (e.g. 2-year access for single books, permanent access for the OBGYN Bundle). Plan changes between monthly and annual take effect at the next renewal date.

8. Service level

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service from time to time.

9. Suspension and termination

We may suspend or terminate your access to the Service immediately and without prior notice in the event of: (a) material breach of these Terms; (b) non-payment; (c) suspected fraud, abuse, or security risk; or (d) repeated or serious violations of our policies. On termination, your right to access the Service ends.

10. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied (including merchantability and fitness for a particular purpose). We are not liable for indirect, consequential, special, incidental, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 6 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where it cannot be limited by law.

11. User indemnity

You agree to indemnify and hold harmless JOACQUEM OGINDO / GynePedia Global against any claims arising from your unlawful use of the Service or your breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Republic of Kenya. The courts of Kenya have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
